Terms of Service

1. Agreement to Terms
By accessing or using TokenSense (“the Service”), operated by TokenSense (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
TokenSense is an AI gateway and control plane that sits between your automation workflows (such as n8n, Make, or Zapier) and AI providers (such as OpenAI, Anthropic, and Google). The Service proxies API requests, tracks usage and costs per workflow, enforces budgets and quotas, and provides a dashboard for monitoring and governance.
TokenSense does not provide the underlying AI models. You must hold your own valid API keys with each AI provider you use through the Service.
3. Accounts and Registration
To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
Each account is associated with a workspace. Workspaces may have multiple members with different roles (owner, admin, member, viewer). The workspace owner is responsible for managing access and permissions.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or its infrastructure
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to transmit malware, spam, or any harmful or disruptive content
- Exceed rate limits or circumvent budget and quota controls in a manner that degrades the Service for others
- Resell or redistribute access to the Service without our prior written consent
- Use the Service to process content that violates the acceptable use policies of the underlying AI providers
5. Provider API Keys
You provide your own API keys for third-party AI providers (e.g., OpenAI, Anthropic, Google). These keys are encrypted at rest and used solely to route your requests. You are responsible for compliance with each provider’s terms of service and usage policies. We are not liable for charges incurred with third-party providers.
6. Plans, Billing, and Payment
TokenSense offers a free Starter tier and paid plans (Pro, Agency). Paid plans are billed monthly via Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.
You may upgrade, downgrade, or cancel your plan at any time through the billing section of your dashboard. Downgrades take effect at the end of the current billing cycle. We do not offer refunds for partial billing periods.
We reserve the right to change pricing with 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
7. Data and Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you also agree to our Privacy Policy.
The Service logs metadata about proxied requests (model used, token counts, latency, cost, timestamps) for cost tracking and analytics. By default, conversation content (prompts and completions) is not logged. If you enable full-body logging, that content is stored encrypted and is accessible only to your workspace members.
8. Intellectual Property
The Service, including its design, code, documentation, and branding, is owned by TokenSense and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
You retain all rights to the data you send through the Service, including prompts, completions, and workflow configurations.
9. Availability and Uptime
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from Service downtime.
10. Limitation of Liability
To the maximum extent permitted by law, TokenSense shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or continuously available.
12. Termination
You may close your account at any time by contacting us at [email protected]. We may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice, except in cases of egregious violations where immediate termination may be necessary.
Upon termination, your right to use the Service ceases immediately. We may retain anonymized, aggregated data for analytics purposes.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.
